Terms of Service

1. About these terms
These Terms of Service ("Terms") govern your access to and use of the GridSync platform, websites, APIs, edge software and related services (collectively, the "Services") provided by 4D Grid Energy (Pty) Ltd, a private company duly incorporated in the Republic of South Africa with registered offices in Johannesburg ("4D Grid", "we", "us" or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
2. Definitions
- "Account" means a credentialled user record created on the Services.
- "Customer" means the legal entity or individual who agrees to these Terms.
- "Site" means a physical location (residence, building, embedded network or generation asset) registered on the Services.
- "Device" means an inverter, battery, meter, gateway or other connected asset enrolled to the Services.
- "Customer Data" means data submitted to or generated by the Services on behalf of a Customer.
3. Eligibility & accounts
You must be at least 18 years of age and have the legal capacity to enter into a contract. Account approval is at our sole discretion. You are responsible for maintaining the confidentiality of your credentials and for all activity conducted under your Account. You must promptly notify us at our contact page of any suspected unauthorised access.
4. Permitted use
You may use the Services solely for lawful purposes and in accordance with these Terms. You may not:
- Reverse-engineer, decompile or attempt to derive the source code of the Services, except to the limited extent permitted by law;
- Resell, sublicense or make the Services available to any third party, except as expressly permitted;
- Interfere with, disrupt or circumvent any security, rate-limiting or access controls;
- Use the Services to transmit unlawful, harmful, infringing or misleading content;
- Use the Services in any way that could cause physical harm to persons, equipment or the electricity network.
5. Customer responsibilities
You are responsible for:
- Procuring all consents required to enrol Sites and Devices, including from end-customers, property owners and licensed utilities;
- Ensuring that physical installation, commissioning and ongoing maintenance is performed by appropriately qualified persons in compliance with applicable wiring codes, OEM specifications, municipal regulations and NRS standards;
- Accuracy and completeness of Customer Data submitted to the Services;
- Maintaining adequate insurance over connected assets.
6. Service availability
We use commercially reasonable efforts to keep the Services available but do not guarantee uninterrupted availability. We may perform scheduled maintenance, upgrades or emergency interventions which may temporarily affect availability. We will provide reasonable advance notice of scheduled downtime where practicable.
7. Control actions & safety
The Services may dispatch control actions to enrolled Devices in accordance with configured programs and contractual constraints. You acknowledge that:
- You retain ultimate responsibility for the safe operation of your Devices and Sites;
- Hardware-level safety interlocks (BMS, inverter limits, grid-tie standards) remain the authoritative safety layer;
- You must configure operating envelopes (state-of-charge floors, power limits, time windows) appropriate to your Devices and use case;
- We are not liable for damage arising from incorrect configuration, hardware faults or non-compliance with OEM specifications.
8. Fees
Fees, if any, are agreed in a separate written order or commercial agreement. Unless otherwise agreed, fees are quoted in South African Rand and are exclusive of VAT. Invoices are payable within 30 days of invoice date.
9. Intellectual property
All intellectual property in the Services, including software, documentation, brand elements and underlying methodologies, is and remains the sole property of 4D Grid or its licensors. These Terms do not grant you any right, title or interest in the Services other than the limited right to use them as set out herein. "GridSync" is a trade mark of 4D Grid Energy (Pty) Ltd.
You retain all rights in Customer Data and grant 4D Grid a non-exclusive, worldwide licence to process Customer Data solely for the purpose of providing and improving the Services.
10. Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information of like kind, and in any event no less than reasonable care.
11. Warranties & disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, 4D Grid disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, 4D Grid's aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the fees paid by you to 4D Grid for the Services in the twelve (12) months preceding the event giving rise to liability. In no event shall 4D Grid be liable for any indirect, incidental, consequential, special or punitive damages, including loss of revenue, loss of data or loss of business opportunity.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Consumer Protection Act, 2008, or other applicable South African law.
13. Indemnity
You agree to indemnify and hold 4D Grid harmless from any third-party claims arising out of (a) your use of the Services in breach of these Terms, (b) Customer Data, or (c) your negligent or wilful acts or omissions in installing, operating or maintaining enrolled Sites or Devices.
14. Suspension & termination
We may suspend or terminate your access to the Services if you materially breach these Terms, present a risk to other users or the electricity network, or fail to pay any undisputed amounts when due. Upon termination, your right to use the Services ceases immediately. Clauses that by their nature should survive termination (including intellectual property, confidentiality, liability and indemnity) shall do so.
15. Changes
We may update these Terms from time to time. We will post the updated version at this URL and update the "Last updated" date. Material changes will be communicated by email where reasonably practicable. Continued use of the Services after the effective date constitutes acceptance.
16. Governing law & dispute resolution
These Terms are governed by the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of the High Court of South Africa, Gauteng Local Division, Johannesburg. Disputes will first be addressed by good-faith negotiation between senior representatives; failing resolution within 30 days, either party may refer the matter to the courts.
